
KT (030200) plans to replace two outside directors at next month's shareholders' meeting, alongside the appointment of a new chief executive officer.
KT's Director Nomination Committee announced on February 9, 2026, that it had finalized three outside director candidates to recommend to the annual general meeting after reviewing candidates across four areas.
KT currently has seven outside directors. The terms of three of them—Choi Yang-hee, president of Hallym University; Yoon Jong-soo, chairman of KT's ESG Committee and environmental advisor at Kim & Chang; and Ahn Young-kyun, board member of the International Federation of Accountants (IFAC)—expire in March.
Yoon was reappointed. Kim Young-han, professor at Soongsil University's School of Electronic and Information Engineering, was nominated for the future technology position, while Kwon Myung-sook, former president of Intel Korea, was nominated for the management position. The board decided to leave the accounting position vacant and fill it at next year's annual general meeting. Former director Cho Seung-ah had previously stepped down due to concerns over her concurrent role as an outside director at Hyundai Steel.
The nomination committee decided to shift from the current concentrated structure of replacing four directors at once to a more stable staggered replacement structure.
The board will also implement measures to address concerns raised by the National Pension Service and labor unions. Regarding NPS concerns that board regulations may conflict with the corporate charter on senior personnel appointments, the company will revise both board regulations and the charter through consultation with NPS. Additionally, reflecting union input, the board plans to introduce an evaluation system for outside directors and establish institutional measures to enhance board transparency.
Regarding concerns about a management vacuum during the CEO transition, the KT board stated, "We hope for smooth consultations between the current management and the next CEO candidate, and we are willing to actively cooperate with the outcome of those discussions."
